These Terms & Conditions (“Terms”) govern your access to and use of our website, including all content, functionality, products, services, subscriptions, accounts, communications, and purchases made through peptruth.com and any related pages, portals, or applications (collectively, the “Site”).

By accessing or using the Site, creating an account, placing an order, or otherwise interacting with PepTruth, you agree to be bound by these Terms and our Privacy Policy, Shipping Policy, Return/Refund Policy, and any additional policies posted on the Site, all of which are incorporated into these Terms by reference. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years old to access the Site and at least the age of majority in your jurisdiction to purchase products from the Site. By using the Site, you represent and warrant that:

1. you have the legal capacity to enter into a binding agreement;

2. limit quantities purchased;
3. prohibit purchases by dealers, resellers, or distributors;
4. require additional identity, age, payment, or end-use verification;
5. reject orders that appear suspicious, high-risk, fraudulent, noncompliant, or inconsistent with lawful intended use; and
6. suspend or terminate accounts associated with questionable activity.

An order confirmation does not guarantee acceptance. We may cancel orders after confirmation, including due to suspected misuse, inventory errors, pricing errors, regulatory concerns, shipping restrictions, payment issues, or suspected violation of these Terms.

7. Pricing, Billing, and Payment

Prices are listed in U.S. dollars unless otherwise stated. You agree to provide current, complete, and accurate billing and payment information. By submitting payment, you authorize PepTruth and its payment processors to charge the full amount of your order, including taxes, shipping, fees, and any authorized recurring charges.

We reserve the right to correct pricing, typographical, or descriptive errors at any time, including after an order has been submitted. If a correction materially affects your order, we may cancel the order and issue an appropriate refund.

8. Shipping, Delivery, and Risk of Loss

Shipping times are estimates only and are not guaranteed. Delays may occur due to carrier issues, weather, product availability, regulatory review, address problems, or events beyond our control.

Title and risk of loss transfer to you upon our delivery of the order to the carrier, to the extent permitted by law. You are responsible for providing a correct shipping address and for receiving, storing, and handling products appropriately upon delivery, including any temperature or light sensitivity requirements disclosed for the product.

PepTruth may restrict shipment of certain products to certain jurisdictions and may refuse shipment where prohibited, impractical, or high-risk.

9. Returns, Refunds, and Damaged Orders

All returns, refunds, replacements, shortages, and damaged shipment claims are governed by our Return/Refund Policy. Except where prohibited by law, PepTruth may require photographs, batch information, shipment packaging, written statements, or return authorization before evaluating a claim.

We reserve the right to deny refund or replacement requests that appear fraudulent, abusive, inconsistent with our policies, or unsupported by requested documentation.

14. User Content, Reviews, Testimonials, and Submissions

If you submit reviews, testimonials, comments, photos, videos, suggestions, or other content (“User Content”), you grant PepTruth a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, display, translate, distribute, and create derivative works from that User Content in any media.

You represent and warrant that your User Content:

1. is truthful and based on your actual experience;
2. does not violate any law or third-party right;
3. does not contain false, misleading, deceptive, or unsubstantiated medical or health claims;
4. does not impersonate another person; and
5. is not defamatory, obscene, harassing, or otherwise objectionable.

PepTruth may remove or refuse User Content at any time.

15. Intellectual Property

All content on the Site, including text, graphics, product names, logos, trademarks, images, layouts, audio, video, software, code, and compilations, is owned by or licensed to PepTruth and protected by applicable intellectual property laws. Except as expressly permitted in writing, you may not copy, reproduce, distribute, modify, create derivative works from, republish, display, or exploit any Site content.

16. Disclaimer of Warranties

To the fullest extent permitted by law, the Site, all content, and all products are provided “as is,” “as available,” and “with all faults,” without warranties of any kind, express or implied.

PepTruth disclaims all warranties, including without limitation:

1. merchantability;
2. fitness for a particular purpose;
3. non-infringement;
4. accuracy, completeness, or reliability of content;
5. quiet enjoyment;
6. course of dealing or usage of trade; and
7. that the Site or products will be error-free, secure, interruption-free, or meet your expectations.

Without limiting the foregoing, PepTruth does not warrant that any product will produce any particular outcome or that any product is appropriate for your individual needs.

17. Limitation of Liability

To the maximum extent permitted by law, PepTruth, its parents, subsidiaries, affiliates, officers, directors, managers, employees, contractors, agents, licensors, suppliers, successors, and assigns shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including without limitation loss of profits, loss of data, loss of business, personal injury, property damage, cost of substitute goods, or business interruption, arising out of or relating to the Site, products, or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by law, PepTruth’s total aggregate liability for any claim arising out of or relating to the Site, any product, or these Terms shall not exceed the greater of:

1. the amount you actually paid to PepTruth for the specific product giving rise to the claim in the six (6) months preceding the event giving rise to the claim; or
2. one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some portions of this section may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless PepTruth and its parents, subsidiaries, affiliates, officers, directors, managers, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, demands, actions, investigations, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys’ fees and costs, arising out of or related to:

1. your use or misuse of the Site or any product;
2. your breach of these Terms;
3. your violation of any law or third-party right;
4. your User Content;
5. your resale, relabeling, remarketing, distribution, or downstream representations concerning any product; or
6. any injury, loss, claim, or regulatory matter arising from your acts or omissions.

19. Release

To the fullest extent permitted by law, you release PepTruth and its related parties from any and all claims, demands, liabilities, and damages of every kind arising out of or in any way connected with disputes between you and any third party, including carriers, payment processors, healthcare providers, resellers, or other purchasers.

20. Mandatory Arbitration and Class Action Waiver

Except for claims eligible for small claims court and claims seeking injunctive relief for misuse of intellectual property or confidential information, any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or any product shall be resolved by binding individual arbitration and not in court.

Arbitration shall be administered by AAA under its applicable consumer or commercial arbitration rules, as determined by the administrator. The arbitration shall take place in Larimer County, CO, unless the rules require otherwise or the parties agree otherwise. The arbitrator shall have exclusive authority to resolve disputes regarding the scope, enforceability, and arbitrability of this provision, except that a court of competent jurisdiction shall decide issues concerning class action waiver enforceability where required by law.

You and PepTruth agree that:

1. arbitration will be conducted only on an individual basis;
2. neither party will seek to have any dispute heard as a class action, collective action, private attorney general action, or representative action;
3. the arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim; and
4. no arbitration shall be consolidated with another without PepTruth’s written consent.

If any portion of this class action waiver is found unenforceable, then only that portion shall be severed, and the remainder of the arbitration agreement shall remain in effect to the fullest extent permitted by law.

21. Time Limit to Bring Claims

To the fullest extent permitted by law, any claim or cause of action arising out of or related to the Site, any product, or these Terms must be brought within one (1) year after the claim arose, or it is forever barred.

22. Electronic Communications and E-Signatures

By using the Site, creating an account, or placing an order, you consent to receive communications from PepTruth electronically, including by email, SMS, site notices, or account notifications, as permitted by law. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

23. Privacy

Your submission of personal information through the Site is governed by our Privacy Policy. You acknowledge that no data transmission or storage system can be guaranteed 100% secure and that PepTruth disclaims liability for unauthorized access except as otherwise required by law.

24. Regulatory Cooperation and Reporting

PepTruth reserves the right to monitor transactions, preserve records, report suspicious or unlawful activity, cooperate with regulators or law enforcement, and disclose information where required or permitted by law.

If you experience a serious adverse event or product quality issue, you should discontinue use immediately and seek appropriate medical care. You should also promptly report the matter to PepTruth at info@peptruth.com and 620-640-3664.

25. International Use

The Site is controlled and operated from the United States and is intended for use only in jurisdictions where the marketing, sale, shipment, and use of the products offered are lawful. You are responsible for compliance with your local laws if you access the Site from outside the United States.

26. Force Majeure

PepTruth shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including acts of God, weather, natural disasters, supply chain disruptions, pandemics, labor disputes, cyberattacks, government actions, regulatory changes, carrier failures, or utility interruptions.

27. Changes to Terms

PepTruth may revise these Terms at any time in its sole discretion. The updated version will be posted on the Site with a revised “Last Updated” date. Your continued use of the Site after any change constitutes acceptance of the revised Terms.

28. Severability

If any provision of these Terms is held unlawful, void, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

29. No Waiver

No waiver by PepTruth of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

30. Assignment

You may not assign or transfer your rights or obligations under these Terms without PepTruth’s prior written consent. PepTruth may assign these Terms at any time without restriction.

31. Entire Agreement

These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between you and PepTruth regarding the Site and supersede all prior or contemporaneous communications regarding the same subject matter.

32. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict-of-laws principles, except to the extent preempted by federal law or superseded by the arbitration provision above.
